In the world of publicly listed commodity juniors, most attention goes to drill meters, ore grades, and resource estimates. One factor has been gaining real weight that, at first glance, has nothing to do with geology: the legal domicile of the company. The so-called redomiciliation — relocating a company’s registered seat to another country — can determine whether a junior qualifies for government-funded supply chain programs or gets shut out of them entirely.
This has become especially visible in 2024/2025, as the U.S., the EU, and Australia commit substantial resources to securing their critical minerals supply chains. Juniors trying to understand why some companies are moving their headquarters from Canada or Australia to the United States need to look at the regulatory frameworks driving that decision.
Buy American, the Defense Production Act, and CFIUS
The U.S. has built a layered set of regulations that determine who may benefit from government programs. For commodity juniors, a few frameworks matter more than others.
Buy American Act and Build America, Buy America Act: These laws require federal agencies to give purchasing preference to American companies. For mineral projects seeking to supply materials to federally funded infrastructure, a U.S. legal domicile is often a baseline requirement — written explicitly into tender conditions, not merely enforced in practice.
Defense Production Act (DPA) Title III: This law authorizes the U.S. Department of Defense to invest directly in industrial capacities it considers critical to national security, including rare earths, nickel, and cobalt. Companies applying for DPA funding must be registered as a U.S. entity. An Australian or Canadian holding company generally cannot file a direct DPA application.
CFIUS (Committee on Foreign Investment in the United States): CFIUS reviews foreign investments in U.S. companies for national security risks. U.S. registration brings that oversight, but it also signals to American institutional investors that the company operates within a legal framework they already know and are comfortable with.
How a change of domicile affects capital access
The practical effects of a U.S. redomiciliation show up at several levels.
Institutional investor base: Many U.S. pension funds hold internal policies that restrict investments in foreign micro- and small-cap companies. A U.S. company listed on NYSE American or Nasdaq is simpler for these investors to hold than a foreign junior on the TSX Venture or ASX, and the shareholder base can shift considerably as a result.
Access to government grants and loan guarantees: Programs such as the U.S. Department of Energy’s Loan Programs Office, or grants administered through the Defense Logistics Agency, require a U.S. legal entity. A junior with a project in Alaska or Nevada but incorporated in British Columbia may be at a disadvantage — even if its project sits physically on U.S. soil.
Supply chain partnerships with U.S. defense contractors: Major corporations impose their own compliance requirements on suppliers. For critical minerals, they tend to prefer partners operating under the same legal framework, and a U.S. legal domicile functions much like a qualification criterion in a competitive tender.
The semiconductor sector offers a useful parallel. When TSMC announced its Arizona manufacturing facility, eligibility under the CHIPS and Science Act — which explicitly favors U.S.-registered production sites — was a key driver of how the deal was structured. Legal domicile as a condition of access, not an administrative detail.

What investors should consider when evaluating a redomiciliation
A change of domicile is not a quality signal on its own. A few specific questions are worth asking.
Does the redomiciliation lead to concrete program access? Moving the registered seat opens doors, but the benefit only materializes if the company actively files for funding or enters supply chain negotiations. Cooperation agreements with federal agencies, letters of intent with U.S. defense companies, or actual DPA applications are the things worth looking for — not the address change itself.
Does governance change? Switching from a Canadian or Australian legal structure to a U.S. Delaware corporation means different disclosure requirements, different voting rights mechanisms, and a different legal system. This can cut both ways for minority shareholders.
How does the listing change? Some redomiciliations come with a switch in primary exchange — from the ASX to Nasdaq, for instance. That can improve liquidity but may also reshape existing shareholder structures, and a dual listing carries real administrative overhead in the near term.
European biotechnology companies have taken similar steps to access NIH funding and U.S. venture capital. The logic is the same: the quality of the underlying project does not change — what changes is who can and will finance it.
Legal domicile as a filter, not just a formality
Western governments are increasingly deciding which companies belong in their supply chains, and legal domicile is one of the first filters applied. For investors following small-cap commodity companies, a redomiciliation is at minimum a signal of intent — the company is positioning itself to operate within that regulatory environment. Whether it translates into funding, contracts, or new capital depends on what the registered address cannot tell you: project maturity, commodity profile, management track record, and the mineral resource itself.
